Article 1 – Scope and Ownership

1.1. These Terms and Conditions govern access to and use of all software solutions, digital platforms, data services, and related products provided by MARKET INTELLIGENCE GROUP SA, whether accessed via www.energymarketprice.com, affiliate websites, dedicated client URLs, or on-premise installations hosted on the client's infrastructure.

1.2. The term “Services” includes, without limitation, all software-as-a-service (SaaS) applications, data interfaces, APIs, analytics platforms, portals, and reporting tools operated, licensed, or distributed by MARKET INTELLIGENCE GROUP SA under the EMP (Energymarketprice) brand or any of its associated trade names.

1.3. These Terms apply to all users, subscribers, and authorized entities who access or use the Services, regardless of the hosting environment or deployment model (including private-cloud, hybrid, or on-premise installations).

1.4. By accessing or using any Service, the subscriber acknowledges and agrees to be bound by these Terms and Conditions, together with any additional contractual provisions or order forms agreed between the parties.

1.5. Do not use any MARKET INTELLIGENCE GROUP SA Service if you disagree with any part of these Terms and Conditions or with our Privacy Policy.

Article 2 – Intellectual Property

2.1. Unless otherwise stated, MARKET INTELLIGENCE GROUP SA owns the intellectual property rights in the website, software, and all materials contained therein, including databases and documentation.

2.2. All such rights are reserved, including copyright, trademarks, database rights, and other proprietary rights.

2.3. Subscribers may retrieve and display content from the Services for internal or personal use only.

2.5. The Services are intended for professional and business users worldwide. MARKET INTELLIGENCE GROUP SA provides access to its platforms and software to clients established in Switzerland, the European Union, the United Kingdom, and other international jurisdictions, provided that such access and use comply with applicable local laws and export regulations.

Article 3 – Pricing and Services

3.1. All prices displayed on our portals are exclusive of VAT and expressed in EUR, GBP, CHF, or USD.

3.2. MARKET INTELLIGENCE GROUP SA is not responsible for additional charges applied by financial institutions.

3.3. Prices are subject to change at any time prior to purchase.

3.4. MARKET INTELLIGENCE GROUP SA reserves the right to restrict access to any product, service, or area of its websites at its discretion.

Article 4 – Subscriptions and Licences

4.1. Subscriptions and licences to any SaaS solution are subject to a minimum period of twelve (12) months, unless otherwise specified in the Agreement or Order Form.

4.2. Upon expiry of the initial subscription term, the subscription shall automatically renew for successive periods of equal duration, unless either party provides written notice of non-renewal at least three (3) months before the end of the current term.

4.3. Unless otherwise agreed, subscription fees shall be automatically adjusted annually on the anniversary date of the subscription.

The adjustment shall be based on the official Consumer Price Index (CPI – All Households, France) as published by INSEE (Institut National de la Statistique et des Études Économiques), plus two percent (2%), reflecting the average evolution of software, data, cybersecurity, and infrastructure costs.

If the referenced index ceases to be published, MARKET INTELLIGENCE GROUP SA may substitute it with a comparable and recognized French or European price index that most closely reflects the cost of providing digital and software services.

This annual indexation shall apply automatically without prior notice and shall not be considered a modification of the Agreement.

4.4. In accordance with EU Directive 2019/770 (Digital Content and Digital Services) and relevant Swiss obligations, any material modification affecting the content, functionality, or pricing of the Service shall be notified to the subscriber at least one (1) month in advance. The subscriber may terminate the subscription within one (1) month of receiving such notice without penalty.

4.5. MARKET INTELLIGENCE GROUP SA reserves the right to revise its pricing structure at renewal, provided written notice is given at least one (1) month prior to renewal. Continued use of the Service after such notice constitutes acceptance of the revised pricing and terms.

Article 5 – Usage of the Services

5.1. Access is permitted only upon proper registration. False or incomplete information is prohibited.

5.2. MARKET INTELLIGENCE GROUP SA reserves the right to contact subscribers through the registered email address for service communications.

5.3. Systematic or automated data collection (including scraping, data-mining, or harvesting) without written consent is strictly prohibited.

Article 6 – Restricted Access and Indemnity

6.1. MARKET INTELLIGENCE GROUP SA reserves the right to restrict access to any product, service, or area of its websites or hosted systems.

6.2. Subscribers are provided with a user ID and password for personal use only and are responsible for maintaining their confidentiality.

6.3. MARKET INTELLIGENCE GROUP SA may suspend or disable access without prior notice if misuse or breach of these Terms is suspected.

6.4. Subscribers agree to indemnify and hold harmless MARKET INTELLIGENCE GROUP SA and its affiliates from any damages or claims resulting from unauthorized use of the Services.

Article 7 – Payment

7.1. Payment may be made solely by bank transfer. Accounts are activated once payment is confirmed.

7.2. As the Services are provided to business and professional clients (B2B), no statutory right of withdrawal applies after activation or access to the Service. Any termination or cancellation shall be governed solely by the contractual terms and notice periods specified in the Agreement or Order Form.

Article 8 – Disclaimer of Warranties

8.1. Use of the Services is at the subscriber's own risk.

8.2. MARKET INTELLIGENCE GROUP SA disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.

8.3. MARKET INTELLIGENCE GROUP SA does not guarantee uninterrupted or error-free operation.

8.4. MARKET INTELLIGENCE GROUP SA shall not be liable for any direct, indirect, or consequential damages arising from the use or inability to use its Services or data.

Article 9 – External Links

9.1. MARKET INTELLIGENCE GROUP SA is not responsible for the content or accuracy of external websites linked to or referenced by its platforms.

9.2. Responsibility for illegal or incorrect content rests solely with the provider of the linked page.

Article 10 – Publications and Newsletters

10.1. MARKET INTELLIGENCE GROUP SA endeavors to ensure the accuracy of all publications and newsletters but provides no warranty of completeness.

10.2. Redistribution or republication of MARKET INTELLIGENCE GROUP SA materials for commercial gain is prohibited.

Article 11 – Force Majeure

11.1. MARKET INTELLIGENCE GROUP SA shall not be liable for delays or non-performance due to circumstances beyond its reasonable control, including internet outages, regulatory actions, or natural disasters.

11.2. If such events persist for more than two (2) months, either party may terminate the contract without compensation.

Article 12 – Security and Privacy

12.1. MARKET INTELLIGENCE GROUP SA respects the privacy of its users and processes personal data in accordance with Swiss and EU data-protection laws.

12.2. Personal data is collected solely for the provision and improvement of services and will not be sold or rented to third parties.

Article 13 – Amendments

13.1. MARKET INTELLIGENCE GROUP SA reserves the right to amend these Terms and Conditions at any time.

13.2. Amendments become effective upon publication on www.energymarketprice.com or any affiliated platform.

13.3. Continued use of any Service constitutes acceptance of the revised Terms.

Article 14 – Severability

14.1. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Article 15 – Governing Law and Jurisdiction

15.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of Switzerland.

15.2. The parties irrevocably submit to the exclusive jurisdiction of the Swiss Courts.
